[1] Cadbury Report, 1992 - commissioned by the FRC, London Stock Exchange (LSE) and accounting profession in the wake of a lack of investor confidence in the honesty and accountability of listed companies. The report set ‘the Cadbury Code’ for good corporate governance. The LSE required listed companies use the code as a compliance ‘check list’, explaining any areas of non-compliance. This was referred to as the ‘comply or explain’ approach, effectively giving the Cadbury Code statutory authority.

[4] Higgs Report (UK Gov, 2003) - Back in 2002, Derek Higgs (former executive of SG Warburg bank) was commissioned by the UK Secretary of State and Chancellor to conduct a short independent review of the role of non-executive directors in UK companies. The 126 page document was published in December 2003, offering guidance to both the NED and employing organisation. [5] UK Corporate Governance Code (FRC, 2018) - commonly known as the Code - sets out function of board and role of members including but not limited to NED.
